Terms and Conditions
1. Acceptance of these terms
By accessing, using or submitting a payment through the resident portal, you acknowledge that you have read and understood these terms and conditions, and you agree to be bound by them as they may be amended from time to time. The portal is provided as a convenience for submitting Association dues, assessments, fees and other charges lawfully imposed or authorized by the Association.
2. Payment processing
Payments submitted through the portal are processed by Stripe, or by such other third party payment processor as the Association may designate. By starting a transaction you authorize the Association and its payment processor to charge the payment method you provide, in the amount you specify or otherwise due on your account, together with any processing charge that has been disclosed to you and is permitted by law.
The Association does not warrant that the portal will be uninterrupted, free from error, or available at all times.
3. Refunds and disputes
Payments for dues, assessments, fees and related charges are final and non-refundable, except in the case of a duplicate payment, an overpayment, or a verified administrative error as determined by the Association in its reasonable discretion.
If you believe a payment was made in error, tell us promptly and give us the information we reasonably need in order to investigate. Starting a chargeback, payment dispute or reversal does not by itself relieve you of the obligation to pay any amount properly due to the Association, including dues, assessments, fees, interest, late charges and costs.
4. Your responsibilities
You represent that you are the owner, the resident, or another person authorized to submit payment for the account or property concerned, and that you are authorized to use the payment method you provide. You are responsible for making sure that the information you submit through the portal is accurate, complete and current.
The Association is not responsible for late charges, interest, additional charges, rejected payments, processing failures or unauthorized transaction claims that arise from information you provided that was inaccurate or incomplete, from insufficient funds, from an expired or invalid payment method, from user error, or from any other circumstance attributable to you, your financial institution or your payment method provider.
5. Application of payments
Unless the governing documents or applicable law require otherwise, the Association reserves the right to apply any payment received through the portal in whatever order and priority it determines appropriate, including first to costs of collection, administrative charges, attorneys' fees, late charges, interest, correction fees, other fees, special assessments and regular assessments.
Accepting a partial payment does not waive the Association's right to collect the remaining balance or to pursue any other remedy available under the governing documents or applicable law.
6. Limitation of liability
To the fullest extent permitted by law, the Association and its Board members, officers, directors, committee members, agents, volunteers, managers, contractors and representatives are not liable for indirect, incidental, consequential, special, exemplary or punitive damages, or for loss of data, loss of use, loss of opportunity or other intangible loss, arising out of or relating to the portal.
This includes any delay, interruption, inaccuracy, transmission failure, unauthorized access, system error, inability to process a transaction, or any act or omission of a payment processor, financial institution, internet service provider, telecommunications provider or other third party.
The portal is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, except those that cannot be disclaimed or limited under applicable law.
7. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend and hold harmless the Association and its Board members, officers, directors, committee members, agents, volunteers, managers, contractors and representatives from any claim, demand, action, liability, damage, loss, cost or expense, including reasonable attorneys' fees, arising out of or relating to your misuse of the portal, your breach of these terms, inaccurate or incomplete information you submitted, a dispute concerning your authority to make a payment, or a transaction initiated using your payment account information.
This does not apply to the extent a loss is determined to have resulted from the Association's gross negligence or wilful misconduct, where applicable law prohibits such a limitation.
8. Privacy and data handling
The Association may collect, receive, maintain, use, disclose and retain information submitted through the portal, including contact information, property identifying information, account information and transaction information, for legitimate Association purposes. Those purposes include payment processing, account reconciliation, record retention, compliance, enforcement, audit support and communications about your account.
Information may be shared with the payment processor, a management company, accountants, legal counsel, technology service providers and other vendors performing services for the Association, in each case as reasonably necessary or as required by law. Payment information is processed by the payment processor and is subject to that processor's own terms, privacy practices and security procedures.
The Association's Privacy Policy describes how we handle your information, and governs where it is more specific than this section. Submitting information electronically carries inherent risk, and the Association does not warrant that any transmission, storage or processing will be completely secure.
9. Formal notices
Any formal notice relating to these terms, to a dispute, or to any other matter concerning the portal must be directed to the Association at 205 Pride Circle, Pelham, AL 35124, or by email to contactus@pantherridge.live, unless the Association designates different contact details in a later notice, posting or official communication.
Notice sent by United States mail, properly addressed with postage prepaid, is treated as received on deposit in the mail. Notice sent by email is treated as received when transmitted, provided the sender does not receive a delivery failure notice. Notice to any other address or recipient is not valid unless the Association acknowledges it in writing.
10. Electronic communications
By using the portal you consent to receive communications electronically, including notices, disclosures, confirmations, receipts and other information about payments, charges or these terms, to the extent permitted by law. You agree that electronic communications satisfy any legal requirement that a communication be in writing, except where the law provides otherwise.
A formal notice under section 9 remains subject to the requirements of that section. You are responsible for keeping a current email address on file and for monitoring it for communications from the Association.
11. Changes to these terms
The Association may modify, amend, supplement or replace these terms at any time. A change takes effect when it is posted, unless a later effective date is stated. Continuing to use the portal after revised terms are posted means you accept them.
12. Governing law and venue
These terms, and any dispute arising out of or relating to them or to the use of the portal, are governed by the laws of the State of Alabama, without regard to any conflict of laws rule that would apply the law of another jurisdiction. Venue for any action lies exclusively in a court of competent jurisdiction in the State of Alabama.
13. General
If a provision of these terms is held invalid, illegal or unenforceable, it will be construed, limited or severed only to the minimum extent necessary, and the remaining provisions stay in full force.
No failure or delay by the Association in exercising a right or remedy operates as a waiver of it, and no single or partial exercise of a right prevents any further exercise. A waiver is effective only if it is set out in writing, identifies the provision being waived, and is signed by an authorized representative of the Association.
These terms are the entire agreement between you and the Association about your use of the portal, and supersede earlier understandings on that subject. Where these terms conflict with a mandatory provision of law or with the Association's governing documents, that provision controls. No statement or representation not set out here binds the Association, and headings are for convenience only and do not affect interpretation.
14. SMS Terms
